Terms of Service

These Terms of Service form a binding agreement between you and KINOAI for access to and use of KINOAI Canvas, including its websites, Canvas editor, Studios, AI models, actors, voice and video tools, APIs, collaboration features, and related services.

KINOAI is operated by Adastra Labs LLC. Contact us at contact@kinoai.studio. By creating an account, joining a workspace, purchasing a plan or credits, or using the service, you agree to these Terms and our Privacy Policy. If you use KINOAI for an organization, you represent that you have authority to bind that organization. In that case, “you” includes the organization.

You must be at least 16 years old and legally able to enter into this agreement. If the law where you live requires a higher minimum age, that age applies. You must provide accurate account information and keep it current.

You are responsible for activity under your account, protecting credentials and devices, and promptly notifying contact@kinoai.studio of suspected unauthorized access. You may not share credentials in a way that bypasses plan limits or workspace permissions.

Workspace owners and administrators may invite or remove members, assign roles, access shared projects and media, manage billing, and control organization settings. If you join an organization’s workspace, that organization may control your membership and content stored there.

You are responsible for obtaining permission before adding another person, sharing their information, or uploading content on their behalf. A sole workspace owner must transfer ownership or delete the workspace before deleting the owner account.

KINOAI helps users create and edit media by connecting first-party tools with third-party AI models. Features may produce images, video, audio, text, captions, layouts, workflow suggestions, and other outputs from your prompts and source materials.

AI outputs may be inaccurate, incomplete, similar to content generated for others, or unsuitable for a particular use. You must review outputs before publishing or relying on them. KINOAI does not provide legal, medical, financial, or other professional advice, and outputs must not be treated as such.

Model availability, speed, capabilities, pricing in credits, and output restrictions may change as providers and product features evolve. We may add, replace, limit, or discontinue models or beta features.

You retain the rights you hold in prompts, uploads, designs, brand assets, and other content you submit to KINOAI. As between you and KINOAI, and to the extent permitted by applicable law and third-party provider terms, you own the outputs generated for you.

You grant KINOAI a worldwide, non-exclusive, limited license to host, copy, transmit, transform, display, and process your content only as needed to operate, secure, support, and improve the service, fulfill your requests, and comply with law. This license ends when the content is deleted, except for residual backups, shared-workspace copies, or records we must retain.

You represent that you have all rights and permissions needed for content you submit, including rights relating to copyright, trademarks, privacy, publicity, faces, voices, products, and personal data. You are responsible for your content, prompts, outputs, and how you use or distribute them.

KINOAI and its licensors own the service, software, interfaces, brand, documentation, templates, and all related intellectual-property rights, excluding your content and outputs. Subject to these Terms, KINOAI grants you a limited, non-exclusive, non-transferable, revocable right to use the service during your account term.

You may provide feedback. You grant KINOAI permission to use feedback without restriction or compensation, provided we do not identify you publicly without permission.

You may not use KINOAI to:

• violate law or another person’s intellectual-property, privacy, publicity, contractual, or other rights;
• create or distribute child sexual abuse material, non-consensual intimate content, unlawful exploitation, credible threats, targeted harassment, or content intended to facilitate serious harm;
• impersonate a person deceptively, misrepresent an AI output as authentic evidence, or use a person’s face or voice without sufficient permission;
• upload malware, probe or disrupt systems, evade security controls, interfere with other users, or access accounts or data without authorization;
• automate access outside supported APIs, scrape the service, reverse engineer protected portions, or bypass rate, credit, seat, or model restrictions;
• resell or sublicense access unless KINOAI has agreed in writing; or
• use outputs in a way prohibited by the applicable model provider or by law.

We may remove content, restrict generation, or suspend access when reasonably necessary to enforce these rules, protect users, comply with providers, or respond to legal obligations.

Paid features require a subscription or credit purchase. Current plan prices, included credits, and feature limits appear on the Pricing page or in an applicable order form. Prices exclude taxes unless stated otherwise. Stripe processes payments and may retain your payment method according to your choices.

• Subscriptions renew automatically for the selected billing period until canceled.
• You may cancel in billing settings. Cancellation takes effect at the end of the current paid period unless the checkout terms state otherwise.
• Subscription credits are added after each successful billing-cycle payment. Unused credits carry over in your workspace balance; renewal does not reset that balance.
• Credit packs add to the same workspace balance as subscription credits. There is no separate spending order and no scheduled credit expiry while the account remains active. Cancellation stops future subscription renewals and does not remove remaining credits. Refunds, chargebacks, and account deletion may affect the balance.
• Credit use varies by model, duration, resolution, and settings. The applicable amount is shown in the product when available.
• Failed generations are not charged when the system records the job as failed.
• Optional auto-recharge operates only after you enable it and save an eligible payment method. You can disable it in billing settings.

Except where required by law or expressly stated at purchase, payments are non-refundable. If KINOAI approves or is required to issue a full or partial refund, related credits may be removed proportionally. Contact contact@kinoai.studio about billing errors or refund requests.

KINOAI relies on third parties for AI models, payment processing, authentication, infrastructure, storage, analytics, monitoring, and communications. Your use of certain features may also be subject to provider terms or restrictions shown in the product.

KINOAI is not responsible for third-party services outside its reasonable control. We may change providers to maintain quality, availability, safety, or commercial viability. The Privacy Policy explains how content and personal information may be processed by these providers.

Each party may receive non-public information from the other that is marked confidential or should reasonably be understood as confidential. The receiving party will use it only to perform under these Terms and will protect it with reasonable care. This does not cover information that becomes public without breach, was already lawfully known, is independently developed, or is received lawfully from another source.

You are responsible for configuring workspace permissions and sharing links appropriately. KINOAI uses safeguards described on the Security page, but no online service is completely secure.

You may stop using KINOAI at any time and may delete your account in Settings, subject to workspace ownership requirements. We may suspend, restrict, or terminate access if you materially breach these Terms, create security or legal risk, fail to pay amounts due, abuse providers or other users, or if continued service is no longer commercially or technically feasible.

Where practical, we will provide notice and an opportunity to resolve the issue. We may act immediately when necessary to prevent harm, comply with law, or protect the service. Provisions that by their nature should survive termination, including ownership, payment obligations, disclaimers, liability limits, and dispute terms, will survive.

We work to keep KINOAI available and reliable, but the service is provided without a guaranteed uptime commitment unless a separate written agreement states one. Maintenance, provider outages, model limits, internet conditions, and events outside our control may interrupt service. Beta or preview features may change or be withdrawn at any time.

To the maximum extent permitted by law, KINOAI and all related services are provided “as is” and “as available.” KINOAI disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant that an AI output will be unique, accurate, lawful, suitable, or free of third-party claims. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

To the maximum extent permitted by law, KINOAI will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, content, or business opportunity, arising from or related to the service.

KINOAI’s total aggregate liability for all claims arising from or related to the service will not exceed the greater of USD 100 or the amount you paid KINOAI during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law or to liability that cannot legally be limited.

If you use KINOAI for a business or organization, you will defend and indemnify KINOAI from third-party claims, damages, and reasonable costs arising from your content, outputs, violation of these Terms, or infringement of another person’s rights, except to the extent caused by KINOAI’s own breach or unlawful conduct. This obligation applies only to the extent permitted by law.

Before filing a formal claim, you and KINOAI agree to try to resolve the dispute informally for 30 days after written notice. Send notices to contact@kinoai.studio with enough detail for us to understand the issue.

These Terms are governed by the laws that apply to the KINOAI operating entity and your transaction, without overriding mandatory consumer protections in your country of residence. Any unresolved dispute may be brought before a court with competent jurisdiction. Nothing here prevents either party from seeking urgent injunctive relief or using an eligible small-claims process.

We may update these Terms to reflect product, provider, commercial, safety, or legal changes. We will post the revised Terms and update the effective date. If changes materially reduce your rights, we will provide additional notice where required. Continued use after the effective date means you accept the revised Terms.

If one provision is unenforceable, the rest remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; KINOAI may assign them as part of a merger, reorganization, financing, or sale of assets. These Terms, the Privacy Policy, applicable order forms, and any expressly incorporated policies are the complete agreement for the service.
